These Terms of Use apply to your use of our services for individuals and organizations, along with any associated software applications and websites. 

These Terms partially form an agreement between you and Hyprecision AI Inc., a California company, and they include important provisions for resolving disputes through arbitration. By using our services, you agree to these terms, and you agree to pay all fees charged to you as agreed between you and Hyprecision AI.

If you reside outside the USA, your use of the services is also governed by these terms.

 

Who we are

Hyprecision AI is a high precision AI research and deployment company. Our mission is to accelerate science to benefit all of humanity. For more information about Hyprecision AI, please visit https://hyprecision.ai/home.

Services

Hyprecision AI provides you with high-precision AI modeling, data synthesis and data prediction services for scientific research, through dedicated API interfaces. Some dedicated terms of service are negotiated between you and Hyprecision AI through emails.

Our IP rights

Hyprecision AI and its affiliates own all rights, title, and interest in and to the services. 

 

Verification

The service agreement takes effect when you provide Hyprecision AI with initial training data and test input data. 

The entire verification workflow is shown below:

Both parties reach an agreement 🡪 You upload three datasets: training dataset (input and output), test dataset (input), test dataset (output) 🡪 You share the uploaded training dataset and test dataset (input) 🡪 Hyprecision AI designs and trains model, uploads the prediction results of the model for the test dataset (input) 🡪 You share the uploaded test dataset (output) 🡪 Both parties confirm the test results

 

Billing

When the model output is verified by you and Hyprecision AI to meet the pre-agreed requirements, you promise to pay the agreed first year API usage fees in full within 5 business days. Hyprecision AI will open access to the dedicated APIs to you within 5 business days of receiving the agreed first year API usage fee in full.

 

Access

Our services may allow you to access those dedicated APIs within a predetermined period. This access is limited only for your sole use. You may not share these APIs with any others in any situations. You promise to use it reasonably and not misuse or abuse your access rights. The first-year usage fees and future usage fees of the dedicated APIs shall be determined by you and Hyprecision AI through negotiation. 

 

Cancellation

Once the service agreement comes into effect, Hyprecision AI will immediately begin the relevant work, and you cannot change or cancel the service agreement. If Hyprecision AI is ultimately unable to fully achieve the predetermined requirements, you can cancel the service agreement or negotiate to modify the service agreement. Hyprecision AI can cancel the service agreement at any time and notify you before you pay, unless otherwise agreed.

 

Dispute resolution

You and Hyprecision AI agree to the following mandatory arbitration:

Mandatory arbitration. You and Hyprecision AI agree to resolve any claims arising out of or relating to these Terms or our services, through final and binding arbitration. 

Informal dispute resolution. We would like to understand and try to address your concerns prior to formal legal action. Before either of us files a claim against the other, we both agree to try to resolve the Dispute informally. You agree to do so by sending us notice. We will do so by sending you notice to the email address associated with your account. If we are unable to resolve a Dispute within 30 days, either of us has the right to initiate arbitration. 

Arbitration forum. If we are unable to resolve the Dispute, either of us may commence arbitration with National Arbitration and Mediation (“NAM”) under its Comprehensive Dispute Resolution Rules and Procedures and/or Supplemental Rules for Mass Arbitration Filings, as applicable. 

Arbitration procedures. The arbitration will be conducted by videoconference if possible, but if the arbitrator determines a hearing should be conducted in person, the location will be mutually agreed upon. The arbitration will be conducted by a sole arbitrator. The arbitrator will be either a retired judge or an attorney licensed to practice law in the state of California. 

 

General Terms

Assignment. You may not assign or transfer any rights or obligations under these Terms and any attempt to do so will be void. 

Changes to these Terms or our Services. We are continuously working to develop and improve our services. We may update these Terms or our services accordingly from time to time. We will give you at least 30 days advance notice of changes to these Terms that materially adversely impact you either via email or an in-product notification. All other changes will be effective as soon as we post them to our website. If you do not agree to the changes, you must notify us and renegotiate any service agreements that have not yet commenced. Service agreements that are in progress will continue to be executed in accordance with the original service terms.

Trade controls. You must comply with all applicable trade laws, including sanctions and export control laws. Our services may not be used in or for the benefit of, or exported or re-exported to (a) any U.S. embargoed country or territory or (b) any individual or entity with whom dealings are prohibited or restricted under applicable trade laws. Our services may not be used for any end use prohibited by applicable trade laws, and your data may not include material or information that requires a government license for release or export. 

Governing law. California law will govern these Terms except for its conflicts of laws principles. Except as provided in the dispute resolution section above, all claims arising out of or relating to these Terms will be brought exclusively in the federal or state courts of San Francisco, California.
